Terms of Service

These terms govern your use of Indiewright, operated by K2MStudios ("Indiewright", "we", "us"). By creating an account you agree to them.

1. What Indiewright is

Indiewright is a platform where independent creators publish audio works — audiobooks, podcasts and serialised audio — and listeners buy and stream them. Indiewright is not the publisher of creator works. Creators own what they upload and are responsible for it.

2. Accounts

• You must be 13 or older to hold an account, and 18 or older to receive payouts.
• Give accurate information and keep your password secure. Activity under your account is your responsibility.
• One person, one account. Do not share credentials.
• You can close your account at any time — see Refunds & Delivery for what happens to your purchases and earnings.

3. Buying editions

• A work is sold as separate editions — for example an audiobook, an eBook, or an illustrated edition — each priced on its own by its creator. Two or more editions may also be offered together as a bundle, which always costs less than the same editions bought separately.
• You pay per edition or per bundle, with your card. There is no balance to load first and nothing recurs; each purchase is a single charge.
• The amount charged is the creator's price plus card processing, itemised separately. The exact total is shown, and must be confirmed by you, before anything is charged.
• You are never charged for something you already own. A bundle is reduced by what you already paid toward it, and buying the same edition twice is refused rather than charged.
• Buying an edition grants you a personal, non-transferable licence to read or play that edition for your own use, for as long as Indiewright offers it. Other editions of the same work are separate purchases.
• Nothing is granted until the payment actually clears. A purchase you start and abandon at checkout charges nothing and grants nothing.
• Refunds are covered in Refunds & Delivery, including the 24-hour window in which you can refund a purchase yourself.

4. Creators: your rights and ours

• You keep ownership of your work. Indiewright claims no ownership of anything you upload.
• You grant us a non-exclusive licence to host, encode, stream and display your work, and to show excerpts for promotion on the platform. This licence exists only so we can operate the service, and it ends when you remove your work, except for copies already sold to listeners and for records we must keep by law.
• You confirm you hold the rights to everything you upload — including the writing, the narration, the music and the artwork.
• Publishing a work costs a one-off fee — $1 for your first, rising to $10, $20 and $30 — charged to your card at the moment you publish, and never deducted from your sales.
• You set your own prices. Indiewright keeps 10% of each sale and you keep 90%, with no other deduction from a sale. See Pricing & Fees.
• Earnings clear seven days after the sale before they can be withdrawn. This window exists so a fraudulent purchase can be caught before the money leaves the platform; it protects creators from having a payout clawed back later. Your earnings screen shows cleared and still-clearing amounts separately.
• Payouts are sent automatically once your cleared earnings reach $50.00. To receive them you must complete identity verification with our payment provider, as financial regulation requires.
• You may remove your work at any time. Anyone who already bought an edition keeps access to it, because they paid for it.

5. Conduct, and what you may not do

The Code of Conduct is part of these terms and sets out the behaviour expected of listeners and creators in full. It is binding, and breaking it can end your account. In summary, you may not:

• Upload work you do not have the rights to.
• Upload content that is unlawful, that sexualises minors, that incites violence, or that harasses or threatens a person.
• Use Indiewright as general file storage rather than to publish audio works.
• Attempt to bypass payment, entitlement checks or signed media URLs, or to download works you have not purchased.
• Inflate play counts, purchase your own work to manufacture earnings, or otherwise manipulate the platform's figures.
• Scrape, resell or redistribute works you did not create.
• Probe, attack or disrupt the service or its infrastructure.
• Plagiarise. Passing off another person's writing, narration, audio or artwork as your own results in a ban — see the Code of Conduct.
• Publish mature content without labelling it, or describe a work misleadingly.

5a. Content is the creator's, and so is responsibility for it

Every audio file, description, title and cover on Indiewright is uploaded by a creator. Indiewright does not write, record, commission, review in advance, or endorse creator content, and is not responsible for it. The creator who uploads a work is responsible for holding the rights to it, for what it contains, and for how it is described and labelled. We are a platform, not a publisher.

We remove content when we learn of a problem — through a report, a rights complaint, or our own review — but we do not vet works before they are published. Nothing on Indiewright should be read as our endorsement of a creator or a work.

Labelling

Mature content is permitted and must be labelled, so a listener knows what they are buying before they pay and before it plays. Unlabelled mature content, and misleading titles, descriptions or cover art, are violations. The categories that require a label, and the content that is prohibited outright, are listed in the Code of Conduct.

If something is mislabelled or misdescribed, report it from inside the app. We would rather relabel a work than remove it, but we will remove it if it is not corrected.

6. Copyright and takedowns

We respond to copyright complaints. Send notices to copyright@indiewright.com with the work identified, your contact details, and a statement of your rights and good faith belief.

When we remove a work for a rights problem, listeners who bought it are refunded automatically. Repeat infringers have their accounts terminated. Creators may respond to a takedown by writing to the same address.

7. Moderation

Anyone can report a published work from inside the app. Reports are reviewed by a person. We may remove a work, suspend an account, or withhold a payout where there is credible evidence of fraud or rights infringement. Every moderation action is recorded in an append-only log. If we act against your account we will tell you why, and you may respond.

8. Availability

We work to keep Indiewright running but do not guarantee uninterrupted service. Maintenance, outages and provider failures happen. This is a small operation and we will say so honestly when something breaks.

9. Changes to these terms

We may update these terms. For material changes — anything affecting your money, your rights in your work, or what you may do here — we will email registered users at least 30 days before the change takes effect. Continuing to use Indiewright after that means you accept the change; if you do not, you may close your account and be refunded and paid out as described above.

10. Ending your account, and what happens to your money

You may close your account at any time. If you do — or if we close it for any reason other than a violation — your accrued earnings are paid out in full, including amounts below the usual payout threshold, and any purchase still inside its refund window can be refunded. We do not keep money because someone left.

We may suspend or terminate an account for a material breach of these terms or of the Code of Conduct.

11. Disclaimers and liability

Indiewright is provided "as is". To the extent the law allows, we exclude implied warranties. We are not liable for indirect or consequential losses. Our total liability to you is limited to the greater of the amount you paid us in the twelve months before the claim, or $100. Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded — including your statutory consumer rights.

12. Governing law

These terms are governed by the laws of the United States and the state in which K2MStudios is established, without regard to conflict-of-laws rules. This does not deprive you of the protection of mandatory consumer law where you live.
